These “terms and conditions of use” apply to Europafilms GmbH and its directors (referred to as Europafilms) and their websites located at europafilms.com, nxtstudios.org and all associated intellectual property and websites linked to europafilms.com and Europafilms, its subsidiaries, and affiliates, including Europafilms sites around the world. The Sites are the property of Europafilms GmbH. BY USING THE WEBSITES AND COMMISSIONING OUR COMPANY SERVICES, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITES OR COMMISSION OUR SERVICES.

By using europafilms.com you agree to be legally bound by these terms, which shall take effect immediately on your first use of europafilms.com. If you do not agree to be legally bound by all the following terms please do not access and/or use europafilms.com.

Europafilms may change these terms at any time by posting changes online. Please review these terms regularly to ensure you are aware of any changes made by Europafilms. Disclaimers and Limitations of Liability

Work Property and all content, including the information, names, images, pictures, logos, and icons regarding or relating to Europafilms, its products, and services (or to third-party products and services), is provided on an “as is” basis without any representations or any kind of warranty made (whether express or implied by law) to the extent permitted by law, including the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security, and accuracy. Under no circumstances will Europafilms be liable for any losses or damage to data, hardware, or equipment either for business or personal usage, due to any commission of works to Europafilms or use of europafilms.com.

Copyright of Work Property

Whenever you commission europafilms.com as work for hire or freelance, you acknowledge that Europafilms is the original copyright holder and Intellectual Property holder and owner of all work and materials created, specifically referring to the text, artworks, designs, photographs, images, motion graphics, video or audio recordings, proprietary techniques and created media materials, (referred to as Work Property).

As the author of all Work Property is the first owner of the copyright of it.  This applies equally to commissioned Work Property in accordance with worldwide Copyright Law with reference to the World Intellectual Property Organisation (WIPO) and the Berne Convention. Only the copyright owner can licence the copying of any Work Property. Reproducing the Work or Property in any material form, includes storing the work in any medium by electronic means. Only Europafilms as the copyright owner can license the issuing of a Work Property.

You agree, by commissioning Europafilms this copyright is perpetual. You agree that Work Property is not royalty-free, sub-licensable and is never licensed to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, play, or make available to the public without prior written agreement with Europafilms. Europafilms exercises all copyright and publicity rights with respect to Work or Property worldwide.  If you do not want to grant to Europafilms the rights set out above, please do not commission Europafilms or europafilms.com to create any Work Property for you. Any Work Property commissioned and scheduled for production by Europafilms will be seen as such.

Cancellation of Assignments

In the event of any cancellations of work orders within (5) five work days of the commencement of the project, assignment, or its components, all costs will be invoiced in full. These terms remain in force, regardless of whether the project is completed or not. A reimbursement of (100%) of the total project component costs will be charged for any re-scheduling or re-booking of any assignment postponed, canceled, or re-scheduled by any client within the (5) five-day period. All and any re-scheduling or re-booking will be seen as additional costs to the original project fees. Any part of any of the websites owned and operated by Europafilms GmbH is entered into willingly by clients.

Intellectual Property

The names, images, and logos identifying Europafilms or third parties and their products and services are subject to copyright, design rights, and trademarks of Europafilms and/or third parties. Nothing contained in these terms shall be implied as being, or otherwise any license or right to use any trademark, patent, design right, or copyright of Europafilms, or any other third party.

General

If there is any conflict between these terms and specific terms appearing elsewhere on europafilms.com then the latter shall prevail. Europafilms are entitled to add to these terms and conditions at any time. Any waiver of any provision of the Terms of Use will be effective only if in writing and signed by Europafilms.

These terms shall be governed by and interpreted under the laws of Switzerland.
